These files are optimized for immediate use and provided at discounted project rates reflecting this setup. Original design files, working files, and source materials—including proprietary elements like tools, plugins, and software setups—remain the property of One Wheel Marketing.
This policy reflects an industry-standard approach that balances the creator’s need to protect their work and maintain quality with the client’s need for clarity, compliance, and usability of deliverables, ensuring mutual benefit while demonstrating professionalism and accountability.

Protecting Against Liability

Misuse of footage by third parties or improper modifications can lead to unintended issues, such as non-compliance with brand guidelines or inconsistent messaging. Approval Documentation
We submit all work for client approvals to ensure that deliverables meet the agreed-upon brand and compliance requirements. This collaborative approach minimizes the risk of errors or misunderstandings.
Detailed Contracts and Disclaimers
Our agreements specify that One Wheel Marketing provides finished deliverables compliant with brand guidelines at the time of publishing
Modifications by the client or third parties are beyond our control, and we are not responsible, to the extent permitted by law, for non-compliance resulting from such changes

Requesting Exclusive Ownership and File Handoff
If a client decides to request exclusive ownership of all files, including working and source files, this can be arranged through an Intellectual Property (IP) Transfer Fee. This fee reflects the value of the deliverables, proprietary processes, and additional preparation work required for handoff.

File Preparation and Handoff
Time required to clean, organize, document, or prepare the working files for external use will be included in the fee total. This ensures compatibility, clarity, and ease of use for the client or their vendors.
Proprietary Knowledge and Tools
The fee incorporates the value of proprietary workflows, tools, and expertise embedded in the files. This reflects the intellectual property and operational efficiencies unique to our processes.
Third-Party Licensing Considerations
If files include third-party assets such as fonts, plugins, or stock media, additional licensing fees may apply, and the client assumes responsibility for obtaining any required licenses
Future Revenue Loss
The fee accounts for potential loss of recurring revenue, as exclusive ownership transfers responsibility for updates and modifications away from One Wheel Marketing
Liability Protection
The client assumes responsibility for the use of the transferred files, including compliance with licensing agreements and ensuring quality in future applications.
While fees are tailored to each project, here’s an example structure:
Base Project Fee: the total value of any discounts previously applied (30% unless specified otherwise) granted with the basic license
Preparation and Documentation time: Calculated based on the time and resources required to prepare files for external use, billed at the current shop rate
Proprietary IP Transfer Fee: 30% of the project’s cost to reflect the transfer of proprietary elements and potential future revenue loss
For those requiring full ownership, the IP Transfer Fee ensures a fair and transparent agreement that reflects the value of the deliverables and protects both parties.
Additional Policy on Strategy, Accounts, and Third-Party Requests
One Wheel Marketing does not transfer strategies, optimized ad accounts, customizations, or other proprietary forms developed during the course of a project. These assets are considered part of our intellectual property and are excluded from any standard or exclusive ownership agreements. However, we will transfer Google Analytics account information to ensure clients maintain access to their performance data.
Any requests from third parties connected to the client (e.g., other agencies, contractors, or vendors) will be billed directly to the client at our full agency rate, including but not limited to file preparation, consultation, or account assistance. This ensures clarity and fairness while maintaining the integrity of our proprietary work and processes.
If desired, we are available to collaborate with other agencies to ensure the client can take full advantage of the optimizations and customizations we’ve developed. While this collaboration is in the client’s best interest, it may involve higher costs, as it requires us to integrate into other systems and manage an additional primary contact for effective communication. These additional efforts reflect our commitment to keeping the client’s goals and success at the forefront.
Embedded Forms
Some custom forms are proprietary assets developed and maintained by One Wheel Marketing. These forms are custom-built to integrate seamlessly with your systems while leveraging our specialized tools and processes.
Here’s why we do not provide direct access to these forms:
Proprietary Design: The forms rely on customized setups, integrations, and workflows tailored to maximize effectiveness for your business. These setups often include embedded analytics, tracking mechanisms, and tools that are proprietary to our agency and require expertise to manage effectively.
Data Integrity: Best practices in the industry emphasize maintaining the integrity of data collection systems. Retaining full control over the forms ensures that the data remains secure, accurate, and consistently reliable.
Ongoing Optimization: Providing direct access could disrupt the optimization and maintenance processes. Any unintended changes or errors could impact performance and lead to inefficiencies.
Non-Transferability: In many cases, the forms themselves are simply not transferable, as they rely on proprietary tools, systems, and integrations unique to our workflows.
Support for Adjustments: While we don’t provide direct access, we are fully equipped to make any updates or adjustments you need and are happy to quote the cost to host and manage the form(s). This allows us to ensure continued effectiveness and alignment with your goals.
Data, Reporting, Systems
Ownership & Data Rights
Advertising execution accounts are managed by One Wheel Marketing.
Reporting infrastructure, including reports and data models, is owned and maintained by One Wheel Marketing.
First-party analytics properties (such as Google Analytics) are owned by the client and remain accessible to the client permanently.
Ads Platforms
Our ads accounts are managed and optimized as part of One Wheel Marketing’s proprietary strategies. These campaigns are crafted using advanced methodologies that we’ve refined over years of experience.
Continuity of Services
Upon conclusion of services, clients retain ownership of their first-party analytics data. Access to agency-managed advertising accounts and reporting infrastructure may be discontinued unless otherwise agreed in writing.
Here’s why we do not grant direct access to ads accounts:
Proprietary Strategies: The account configurations, targeting, bidding strategies, and optimization workflows represent proprietary intellectual property. Retaining control is standard practice across the industry to protect these assets and ensure consistent results.
Campaign Performance: Industry best practices highlight the importance of centralized control to maintain consistent and optimal performance. Multiple users or unauthorized changes can disrupt critical settings and reduce campaign effectiveness.
Compliance and Security: Retaining control ensures compliance with ad policies, consistent tracking, and secure handling of sensitive data related to your campaigns.
Reporting & Transparency: Clients are provided access to performance reporting through One Wheel Marketing–managed reporting tools. Reporting views are shared for visibility and decision-making, while the underlying reports, connectors, and data models remain part of our managed systems. Reporting metrics are defined in advance by mutual agreement and maintained as the single source of truth.
Non-Transferability: Ads platforms are not transferable. Reasons include reliance on proprietary tools, agreements, connectors, systems, and integrations unique to workflows, or minimum spends spread among several clients.
Why This Policy Exists
Our current policy is the result of lessons learned from past experiences. In several cases, clients handed over control to other agencies and resulting mismanagement caused significant damage to their campaigns and systems.
To protect both our clients and the integrity of their campaigns, we adopted this policy which aligns with industry standards and ensures:
Data and system integrity, avoiding potential disruptions from unauthorized changes
Consistent quality and performance across campaigns and deliverables
Efficient support and adjustments, tailored to the client’s needs while maintaining optimized systems
Protection of intellectual property, which includes years of expertise, custom tools, and unique methodologies
Collaboration and Support
While direct administrative access is not provided, we are happy to collaborate with any third parties or other agencies as needed to ensure you can fully benefit from the optimizations and customizations we’ve developed. Please note that collaboration with other parties or additional requests are billable, reflecting the time and expertise required to integrate and manage these interactions effectively.
