Intellectual Property & Deliverables

These terms are part of the One Wheel 360 Terms of Service. They govern ownership, licensing, and transfer of work produced during our engagement.

What You Get Automatically

Finished deliverables transfer to you automatically upon full payment. You receive a perpetual, unlimited license to use all finished work product, including final designs, published content, delivered reports, completed builds, configured systems, and any other work product delivered to you in final form. Unless otherwise stated in writing, transfer applies only to finished deliverables in their final delivered form.

What One Wheel Retains

Original design files, working files, source materials, internal documentation, proprietary tools, plugins, processes, custom software configurations, and account-level optimizations remain the property of One Wheel. These assets reflect accumulated methodology, tooling, and expertise embedded in how we work. Retaining them allows us to provide consistent, efficient updates and maintain quality standards across your engagement.

Ad Accounts and Campaign Assets

We provide transparency and access to your advertising data and performance. You can see what is running, what it is producing, and where your spend is going. Operational control of running campaigns, including account configurations, targeting, bid strategies, optimization workflows, and agent-managed automations, is part of the Activate service and remains under One Wheel’s management while the service is active. If you discontinue Activate and want to take over campaign operations, we will work with you on a transition engagement scoped as a Build project to support continuity. Some platform configurations may not be transferable due to shared infrastructure, platform policies, integration dependencies, security requirements, licensing limits, or operational dependencies. Where transfer is not possible, we will explain why and help you establish independent operations.

Embedded Forms and Proprietary Systems

Some forms, integrations, and system components are built on One Wheel’s proprietary infrastructure, including custom workflows, embedded analytics, tracking mechanisms, and automation connections that require our environment to function. These components are managed through your Command Center and are not independently transferable. Adjustments and updates are handled through support tickets or Build projects.

Requesting Source Files or Full Ownership

If you want ownership of working files, source files, or proprietary assets, this can be arranged through a priced hand-off engagement. The engagement covers file preparation, documentation, reversal of any project discounts that reflected the standard licensing arrangement, and transfer of proprietary elements. Any required third-party licensing obligations, including fonts, stock media, and plugins, become your responsibility upon hand-off, and any transfer or re-licensing is subject to the terms of the applicable third-party provider. Details are scoped per project.

Third-Party Collaboration

Requests from third parties connected to you, including other agencies, contractors, and vendors, are billed to your account at standard rates. Collaboration engagements are scoped and quoted before work begins.
